123fahrschule SE Announces Capital Increase by 92,000 Shares

123fahrschule SE has announced a capital increase of 92,000 shares against a claim contribution. The management board, with the supervisory board's approval, resolved to increase the share capital by EUR 92,000.00 at EUR 5.00 per share.

The contribution in kind involves a claim by KlickVentures GmbH against 123fahrschule Holding GmbH for EUR 460,000.00. This is part of the acquisition of FahrerWerk GmbH. The remaining claim will be subject to a long-term deferral agreement to protect liquidity. The issued shares will be under a lock-up agreement until 31 December 2025.

The initial purchase price agreement for FahrerWerk GmbH allowed partial payment in shares. The recently determined issue price of EUR 5.00 per share was reviewed by the executive and supervisory boards. Shareholders' subscription rights are excluded from this capital increase, pending the entry of Authorized Capital 2024 in the commercial register.
