ABOUT YOU and Zalando Announce Strategic Merger and Takeover Offer
ABOUT YOU Holding SE and Zalando SE have agreed on a strategic business combination to strengthen their e-commerce presence in Europe. The agreement aims to create a robust fashion and lifestyle ecosystem, offering enhanced services to customers and partners through complementary products.
Zalando plans to launch a voluntary public takeover offer to acquire all ABOUT YOU shares at EUR 6.50 per share. This offer, backed by Zalando's cash resources, is not contingent on a minimum acceptance threshold.
Major stakeholders, including Otto GmbH and the Otto family, have committed to selling their shares, representing approximately 73% of ABOUT YOU's capital. The completion of this takeover is subject to regulatory approvals.
ABOUT YOU's Management and Supervisory Boards have expressed support for the offer, pending detailed review. The boards have also extended management appointments till October 2025 to ensure ongoing leadership involvement.
