Alta Copper Announces Annual General Meeting Voting Results
Alta Copper Corp. reported the results of its Annual General Meeting (AGM) held on June 28, 2024, in Vancouver, British Columbia. A total of 45,215,379 common shares, representing 53.71% of the outstanding shares, were represented at the meeting. All motions were passed.
Kreston GTA LLP was appointed as the auditor with 97.69% votes in favor. A new 10% rolling Omnibus Equity Incentive Plan was approved with 95.97% votes. The number of directors was set at seven, with 97.29% votes supporting the motion.
During the election of directors, Giulio T. Bonifacio, Andrew Hamilton, and Christine Nicolau were elected. However, Joanne C. Freeze, Miguel Inchaustegui, Steven Latimer, and Sean I. Waller received more withheld votes than votes in favor, largely from Nascent Exploration Pty Ltd., a Fortescue Ltd. subsidiary. They are expected to offer their resignation based on the company's Majority Voting Policy.
Alta Copper’s Executive Chair, Giulio Bonifacio, is in discussions with Fortescue over the withheld votes. Fortescue believes a reconstituted board will accelerate the development of the Cañariaco Project. Alta Copper is optimistic about Fortescue’s active involvement.
