Approval of the Offer Document for Openjobmetis S.p.A.

The Italian National Commission for Listed Companies and the Stock Exchange ("CONSOB") has approved the offer document for a mandatory public tender offer on the shares of Openjobmetis S.p.A. This approval was given on May 30, 2024, through resolution no. 23130 pursuant to Italian Legislative Decree no. 58 of February 24, 1998.

The offer document will be published on June 3, 2024, and will be accessible at various locations in Milan and online. The acceptance period for the offer will run from June 10, 2024, to June 28, 2024, with potential extensions allowed by regulations. The payment date is set for July 5, 2024.

If the acceptance period is reopened, this will occur from July 8, 2024, to July 12, 2024, with a subsequent payment date of July 19, 2024. The consideration for each share tendered is set at 16.50 euros.
