Archos announces a capital increase with maintenance of preferential subscription rights

Archos, specialist in mobile solutions, has launched a capital increase for a maximum amount of 998,511.94 euros. The operation, supported by the company's management to the tune of 51.7%, will take place from April 15 to May 9, 2024. This capital increase by issuing new shares offers a subscription parity of 10 new shares for 15 existing shares, at a subscription price of €0.043 per share, a significant discount compared to the current price. Preferential subscription rights (DPS) will be negotiable from April 11 to May 7, 2024.

The Archos board of directors made this decision on the basis of authorizations granted by the general meeting of shareholders. The announced objective is to finalize the early repayment of the company's debt. The proceeds from this issue are therefore intended to strengthen the financial structure of Archos. The company also specified that the new shares will be immediately assimilated to existing shares upon their issue.

Archos underlines the importance for current shareholders to participate in this operation to avoid dilution of their stake in the company's capital. The subscription period will give holders of DPS the opportunity to subscribe on an irreducible basis and, where applicable, on a reducible basis. The company highlights its commitment to supporting the development of its mobile solutions through this capital injection.
