Armada Data Corp Completes Strategic Amalgamation
Armada Data Corporation announced the completion of its previously disclosed amalgamation under British Columbia's Business Corporations Act. This strategic move was approved by shareholders on October 28, 2024. The amalgamation was orchestrated with 1498798 B.C. Ltd., James Matthews, Eli Oszlak, and 2190960 Ontario Ltd. The agreement entailed acquiring all outstanding common shares of Armada at $0.04 per share.
Following the amalgamation's approval, Armada's common shares were converted into redeemable preferred shares, immediately redeemed for cash. Registered shareholders are advised to submit relevant documentation to Computershare Investor Services to receive their compensation.
The common shares are expected to be delisted from the TSXV post-market close on October 30, 2024. Armada plans to cease being a reporting issuer, exempting it from continuous disclosure obligations. Matthews and Oszlak now jointly control 100% of Amalco's shares, consolidating their ownership.
