Audius SE Converts from Bearer Shares to Registered Shares

On June 26, 2024, audius SE’s Annual General Meeting resolved to convert no-par value bearer shares into no-par value registered shares. The amendments were authenticated in the Stuttgart Local Court on July 24, 2024. Consequently, the company's share capital, amounting to EUR 4,950,000.00, is now divided into 4,950,000 no-par value registered shares, each representing EUR 1.00.

August 21, 2024, marks the last trading day for bearer shares, with the conversion happening on August 23, 2024. Existing shares will be swapped at a 1:1 ratio into registered shares with the new ISIN DE000A40ET13.

The conversion mandates shares to be kept and registered, enabling shareholders to participate in the Annual General Meeting and exercise voting rights. Shareholder rights, including the ability to sell shares, remain unchanged. The conversion is free of charge and aims to enhance communication with shareholders through greater transparency.
