AURES Technologies Appoints Independent Expert for Tender Offer

Paris, 16 October 2024 - AURES Technologies has announced the appointment of Finexsi, led by Mr. Christophe Lambert, as an independent expert. This decision follows ADVANTECH Group's upcoming draft mandatory tender offer on all AURES shares not owned by them, except treasury shares. The appointment aligns with articles 261-1 I, 1° and 4° and 261-1 II of the AMF's regulations.

AURES, due to its Board's composition, couldn't form an ad hoc committee for the tender offer evaluation and complied with the AMF's non-opposition procedure. Finexsi will provide a report on the Tender Offer's financial terms, which may lead to a squeeze-out if regulations permit.

The AURES Board of Directors will deliver a reasoned opinion on the Tender Offer after reviewing the independent expert's report. This will include the expert's fairness opinion, and both documents will be disclosed as part of the draft offer response.
