BayWa AG Transfers Majority Stake in BayWa r.e. AG to EIP

BayWa AG announced a strategic shift by transferring its majority stake in BayWa r.e. AG to Energy Infrastructure Partners (EIP). This decision follows a capital increase primarily subscribed by EIP, resulting in their majority control of BayWa r.e. AG. The transaction reduces BayWa AG's stake from 51% to 35%, impacting their consolidated financial statements. The move is influenced by the need for additional funding due to market uncertainties and volatility in the renewable energy sector.
BayWa AG will relinquish approximately EUR 350 million in shareholder loan claims to address BayWa r.e. AG's capital and guarantee needs, estimated at EUR 435 million up to 2028. This restructure involves updating the existing plan and gaining approval from significant stakeholders. The agreement still requires formal contract finalization and regulatory clearance.
