BeMetals Advances Acquisition Deal with Prospector Metals

BeMetals Corp. has announced progress on its acquisition agreement with Prospector Metals Corp. The transaction, dated April 15, 2026, involves the acquisition of several non-Yukon mineral exploration projects and marketable securities in exchange for 29.4 million BeMetals common shares. A key component of the deal was a share consolidation conducted on May 8, 2026.

The deal awaits approval from shareholders at a meeting on July 3, 2026. The reconstitution of BeMetals' board is also planned, with new members from both companies. The addition of Clive Johnson to the board is anticipated in the third quarter of 2026. The acquisition has received conditional acceptance from the TSX Venture Exchange.

Both companies share B2Gold Corp. as a common insider but are not related parties under Multilateral Instrument 61-101. The acquisition includes the Savant Gold Project in Ontario, with substantial potential for gold discovery.
