Capgemini Shareholders' Meeting 2024: Key Approvals and Appointments

On May 16, 2024, Capgemini's Shareholders' Meeting took place at Pavillon Gabriel, Paris, where all board proposals were adopted. A crucial decision was the renewal of Mr. Aiman Ezzat's role as Chief Executive Officer for another four years, alongside his Director role, reaffirming the board’s confidence in his leadership.

The assembly also confirmed the reappointments of Ms. Siân Herbert-Jones and Ms. Belen Moscoso del Prado Lopez-Doriga as Independent Directors, emphasizing their extensive experience in finance, auditing, and digital transformation strategies. Additionally, Mr. Christophe Merveilleux du Vignaux will replace Ms. Lucia Sinapi-Thomas as Director representing employee shareholders.

Moreover, the meeting approved the 2023 compensation for Paul Hermelin, Chairman of the Board, and CEO Aiman Ezzat. Furthermore, a dividend of 3.40 euros per share was declared for the fiscal year 2023, payable at the end of May 2024.

In another significant move, the Shareholders' Meeting endorsed the selection of a Statutory Auditor to validate sustainability accounts and supported all financial authorizations granted to the Board of Directors.
