Carrefour Announces Board of Directors Updates Following Recent Meeting
On 13 March 2024, Carrefour's Board of Directors convened, leading to significant decisions influenced by the Governance Committee's recommendations. Key resolutions include the proposal for the renewal of terms for seven directors at the upcoming Shareholders' Meeting scheduled for 24 May 2024. These directors, whose terms would extend through the end of 2026, include Cláudia Almeida e Silva, Aurore Domont, and others.
Eduardo Rossi was co-opted as a director to succeed Abilio Diniz, with the ratification of this replacement awaiting approval at the May shareholder assembly. Additionally, Marguerite Bérard has been nominated for directorship for a three-year period, potentially joining the Audit Committee contingent upon shareholder consent.
Adjustments to the Board Committees were also executed. Changes included Flavia Buarque de Almeida taking a place on the Strategic Committee, and both Sylvie Dubois and Frédéric Barrault joining the CSR and Remuneration Committees respectively. The Audit, CSR, Governance, and Remuneration Committees’ compositions were detailed, reflecting a significant proportion of independent directors.
