Consob Approves Fnac Darty's Offer Document for Unieuro Shares

Ivry-sur-Seine, France — On August 23, 2024, Fnac Darty SA and RUBY Equity Investment S.à.r.l. announced that Consob has approved their voluntary public tender and exchange offer (the “Offer”). This approval pertains to the formal acquisition of all ordinary Unieuro S.p.A. shares not currently held by the Offerors.

The tender period for the Offer is set from 2 September 2024 to 25 October 2024, unless extensions are required. The Offer includes a combination of cash (€9.00 per share) and newly issued Fnac Darty shares (0.1 share per Unieuro share). The closing date of the Offer aligns with the conclusion of the tender period, set for 25 October 2024.

If conditions permit, the tender period may reopen for an additional five trading days in November. Payments to tendering shareholders will be processed within five trading days after the tender period's closure.
