ENGIE Announces Refinancing Transaction of Hybrid Bonds

On 5 June 2024, ENGIE initiated a tender offer for two series of undated deeply subordinated fixed rate resettable notes. These notes, referred to as NC 2024 Notes and NC 2025 Notes, are set to be callable in November 2024 and April 2025, respectively. The NC 2024 Notes are traded on Euronext Paris, while the NC 2025 Notes are listed on Euronext Dublin's Official List.

ENGIE also plans to issue new series of undated non-call notes under its Euro 40 billion Euro Medium Term Note Programme. The offer aims to manage the company's debt redemptions and balance sheet more efficiently. The tender amount will be based on the aggregate nominal amount of the new notes, minus €337.8 million.

The tender offer is open until 12 June 2024, with results to be announced the following day. ENGIE retains full discretion over the acceptance of the tendered amounts. The aim is to manage the hybrid capital layer proactively.
