Euronext Successfully Completes €425 Million OCEANEs Offering
On 22 May 2025, Euronext, Europe's leading capital market infrastructure, announced the successful placement of €425 million in senior unsecured bonds, termed OCEANEs, due 2032. These bonds are convertible into new and/or exchangeable for existing Euronext shares, targeted exclusively at qualified investors.
The proceeds will partially finance the Admincontrol acquisition, replacing part of the bridge loan. Each bond is issued at €100,000 with a 1.50% annual fixed coupon, payable semi-annually, beginning on 30 November 2025. The bonds will convert at an initial price of €191.1654, reflecting a 35% premium on Euronext's current share price of €141.6040.
The bonds may be redeemed early by Euronext under specific conditions, emphasizing the agile financial strategy the company employs. Listing on Euronext Access is expected post-issuance. Shareholder dilution could reach approximately 2.1% should conversion rights be exercised in full, with no preferential rights provided in this issuance.
