Extraordinary General Meeting of ESGTI AG Confirms All Board Proposals
On 12 June 2024, ESGTI AG held an Extraordinary General Meeting of Shareholders where all proposals by the Board of Directors were confirmed. The meeting was conducted both in person and via video conference, with 13,798,412 votes representing 53.10% of issued shares taking part.
The shareholders approved the annual report, financial statements per Swiss Code of Obligations, consolidated financial statements per IFRS, and the remuneration report. They also endorsed carrying forward the balance sheet loss and discharged the board for the 2022/2023 fiscal year.
The meeting resolved to split the share capital from 25,985,369 shares at CHF 1.56 each into 155,912,214 shares at CHF 0.26 each. Additionally, the shareholders approved revisions to the company’s Articles of Association and noted the delisting from BX Swiss effective 4 July 2024.
