Fnac Darty and Partners Surpass 95% Ownership of Unieuro Shares

Fnac Darty SA and Ruby Equity Investment S.à r.l. have announced that they have surpassed 95% ownership of Unieuro S.p.A.'s share capital. This milestone follows a voluntary public tender and exchange offer launched by the companies for all Unieuro shares not already in their possession. The offer obliges the purchase of residual shares under Italian financial regulations.

From additional shares submitted for sale and market acquisitions, the collaborators now hold approximately 95.45% of Unieuro's capital. This development triggers the Right to Squeeze-out and the obligation to purchase remaining shares. The Extended Period for further submissions concludes on December 11, 2024, with the payment date on December 18, 2024.

The owning partners will proceed with the Joint Procedure to consolidate ownership of any remaining Unieuro shares not yet acquired. This operation will align with regulatory guidance from Consob and Borsa Italiana.
