Goldcliff Resource Announces Private Placement Offerings

Goldcliff Resource Corporation, based in Vancouver, has re-announced a non-brokered private placement totaling up to $825,000. The placement will consist of 5,000,000 units at $0.045 each, and 10,000,000 flow-through shares at $0.06 each. Each unit includes a common share and a warrant, while flow-through shares are defined under Canada's Income Tax Act.

Proceeds will fund property payments and exploration projects in British Columbia. The placement closes on October 6, 2025, pending regulatory approvals. Eligible finders may receive a 7% cash fee and warrants. The offering will not be distributed in the United States.
