Groupe Crit launches a mandatory takeover bid for OPENJOBMETIS after major acquisition
The Crit Group has crossed the threshold of 30% ownership in the capital of the Italian company OPENJOBMETIS, thus triggering a mandatory public purchase offer (OPA). This position was reached after the finalization, on April 24, 2024, of the purchase of the shares of the majority shareholder Plavisgas, who holds 34.14% of the capital. Together with previous acquisitions from MTI Investimenti and other shareholders, Groupe Crit now controls 39.56% of the capital and 31.63% of the voting rights of OPENJOBMETIS.
The takeover bid, set at a price of 16.50 euros per share, complies with the requirements of the Italian Legislative Decree on financial markets and may lead to a squeeze-out if the conditions are met. The next steps involve submitting an offer document to CONSOB for approval, following Italian regulations.
