Key Resolutions Passed at DocMorris AG's 31st Annual General Meeting in Zurich
During the 31st Annual General Meeting held on 2 May 2024, DocMorris AG shareholders approved several key measures, reflecting confidence in the management and operational direction. The meeting resulted in the approval of the 2023 annual and consolidated financial statements as well as the Board of Directors' proposal on the appropriation of the 2023 balance sheet result. Additionally, all board members received discharge and were confirmed for a new term until the next Annual General Meeting.
Among the notable decisions, amendments conforming to updated company law were made to the Articles of Association, including a new threshold for agenda items and provisions on conditional share capital use. Buis Bürgi AG and Ernst & Young AG were re-elected as independent proxy and auditors, respectively. Another significant outcome was the approval of the Sustainability Report 2023.
However, the session also saw a rejection of the 2023 Compensation Report in a consultative vote, following previous criticism on compensation transparency by a proxy advisor. In response, DocMorris plans to refine its compensation framework after engaging intensively with larger shareholders to enhance acceptance for forthcoming reports.
