Minutes of the Klarsen Extraordinary General Meeting: Resolutions Adopted

On October 31, 2025, Klarsen, a data marketing specialist, held an Extraordinary General Meeting at its headquarters in Bordeaux. At this meeting, the shareholders present, representing 35.23% of the voting rights, approved all resolutions except for resolution number 3. This resolution concerned the delegation of authority to the board of directors for the capital increase for the benefit of members of the company savings plan.

The other resolutions adopted aim to enable Klarsen's Board of Directors to complete a capital increase project through the issuance of warrants (ABSA), thus maintaining preferential subscription rights, and to distribute standalone warrants free of charge to all shareholders.
