Leonteq AG Announces AGM Agenda and Board Proposals for 2024
Leonteq AG, a Swiss fintech company, has released the agenda and board proposals for its Annual General Meeting (AGM) scheduled for 2024. The company plans to propose the re-election of seven current board members and Christopher Chambers as Chairman. Notably, Raiffeisen Switzerland, Leonteq’s anchor shareholder, will not have a dedicated board seat to promote board independence and skill diversification. Consequently, board member Dominik Schärer is stepping down, with plans to appoint a new female director with a tech background underway.
The board proposes a shareholder distribution of CHF 1.00 per share for the 2023 financial year, split equally between retained earnings and capital contribution reserves. Additionally, the AGM will include votes on financial statements, a sustainability report for 2023, and separate compensation approvals for the board and executive committee. Leonteq also aims to reduce share capital by canceling repurchased shares and seeks approval to introduce a capital band.
Deloitte AG is proposed for re-election as statutory auditor for 2024, alongside the re-election of the independent proxy.
