Skolae acquires a majority block of M2i shares from Prologue

Skolae and Prologue have signed an agreement for the acquisition of a majority stake in M2i by Abilways SAS, a subsidiary of Eductive SAS, owner of Skolae. Abilways is purchasing 59.94% of M2i's share capital from Prologue for €8.50 per share. The Prologue and M2i employee representatives have been informed of this transaction.

The acquisition is subject to approval by the French Competition Authority, expected in March 2025. The transaction will result in a simplified public purchase offer (OPAS) at the same price per share for the remaining M2i shares not held.

If the Purchaser exceeds 90% of the capital and voting rights, a compulsory withdrawal procedure will be considered.
