Merger between Financière Moncey and Compagnie des Tramways de Rouen approved
The boards of directors of Financière Moncey and Compagnie des Tramways de Rouen have approved a merger by absorption. This operation aims to simplify the structures of the Bolloré group, majority shareholder with 94.04% of the capital of Compagnie des Tramways de Rouen as of June 30, 2024.
To minimize split shares, a division by 100 of the nominal value of Financière Moncey shares will be proposed. The merger parity, after this division, is 75 Financière Moncey shares for 1 Compagnie des Tramways de Rouen share. Maurice Nussenbaum was appointed merger commissioner by the Nanterre Commercial Court on July 5, 2024.
The final terms of the merger will be finalized before the end of September 2024. The general meetings of shareholders of the two companies will be convened by the end of 2024 to approve the merger.
