Multitude SE Initiates Written Procedure for Notable Amendments to Capital Notes
Multitude SE, addressing its subordinated perpetual floating rate callable capital notes (ISIN NO0011037327), has engaged Nordic Trustee & Agency AB (publ) to commence a written procedure for proposed amendments. This request aims to gain noteholder approval for changes pertinent to Multitude SE's planned relocation from Finland to Switzerland, slated as part of a broader strategic move.
The company initially announced during Q1 2024 its intentions to shift its registered office from Finland to Switzerland. Due to Finnish legal restrictions on exiting the European Economic Area (EEA) directly, an intermediate transformation to a public limited liability company in Malta preceding the final move to Switzerland is planned. Multitude SE seeks noteholder consent to adjust the terms of the Notes to facilitate this reorganization.
The formal written procedure is set to terminate on June 3, 2024, with the voting deadline on the same day at 15:00 CEST. The procedure may close earlier if the required majority consents are obtained. Noteholders eligible to vote must be registered with Euronext Securities Oslo as direct owners or authorized nominees by May 24, 2024.
