Opening of the simplified takeover bid by Mercure on Wedia

Mercure is launching a simplified public purchase offer (OPA) on the company Wedia. The OPA will begin on October 15, 2024 and end on November 6, 2024. Already a majority shareholder, Mercure controls nearly 70% of Wedia's capital, having increased its stake by 57.2% since the filing of the OPA.

The price per share is set at €30.50, with an additional €1.25 per share if Mercure reaches a threshold of 90% of the capital, allowing a mandatory withdrawal of the remaining shares. Shareholders participating in this offer via Euronext will have their brokerage fees covered. This operation has been validated by the AMF, guaranteeing compliance and transparency.

Mercure recently acquired 109,452 shares, mainly off-market, from Wedia's historical shareholders. This strengthening precedes the possible mandatory withdrawal procedure if the conditions of the takeover bid are met.
