Proposed merger by absorption of Société des Chemins de Fer et Tramways du Var et du Gard by Compagnie du Cambodge

On July 10, 2024, Compagnie du Cambodge and Société des Chemins de Fer et Tramways du Var et du Gard approved the principle of their merger by absorption. This measure aims to rationalize and simplify the structures of the Bolloré group, which holds 96.35% of the capital of Société des Chemins de Fer et Tramways du Var et du Gard.

To minimize the formation of fractional shares, a division by 100 of the nominal value of Compagnie du Cambodge shares will be proposed. The proposed parity would be 110 Compagnie du Cambodge shares for 1 Société des Chemins de Fer et Tramways du Var et du Gard share.

Maurice Nussenbaum was appointed merger commissioner. The management board and the council will meet again by the end of September 2024 to decide on the final terms, with a general meeting before the end of the year to validate the merger.
