Reclassification operation on SAPMER capital
On December 16, 2024, SAPMER was informed of a reclassification transaction concerning its shares. This transaction involves the companies Cana Tera and JS&Co, both under the control of the Chateauvieux Family.
Following this transaction, JS&Co now holds 50.01% of the capital of Sapmer Investissements, reflecting an equivalent share of voting rights. This increasing holding leads JS&Co to indirectly exceed the threshold of 50% of the capital and voting rights of SAPMER.
Although this crossing normally implies an obligation to file a draft public offer according to the regulations of the Financial Markets Authority (AMF), the continuity of control by the Chateauvieux Family allowed JS&Co to obtain an exemption.
