Results of Annual Shareholders Meeting of R&S Group Holding AG

The Annual Shareholders Meeting of R&S Group Holding AG took place on 28 May 2024 at The Circle, Zurich-Airport. Shareholders, representing 86.12% of voting shares and 74.17% of the share capital, approved all Board motions. A dividend of CHF 0.25 per share will be paid on 03 June 2024.

Attendees approved the annual report, financial statements, compensation report, and the 2023 non-financial matters report. The Board of Directors and Executive Committee received discharge and were re-elected, along with Deloitte AG and Buis Bürgi AG as auditors and proxy.

Shareholders sanctioned a capital band with a 120% upper limit and an exclusion of subscription rights by 10%, plus an additional 10% for acquisitions. Amendments to the Articles of Association were also approved. The next meeting is set for 14 May 2025 in Zurich.
