Safe & Green Holdings Raises $8 Million in Private Placement
On April 14, 2025, Safe & Green Holdings Corp. (NASDAQ: SGBX) announced the completion of a private placement, raising approximately $8 million. The financing consists of 20,408,160 Common Units, priced at $0.392 each, and involves Series A and B Common Warrants with initial exercise prices of $0.784 and $0.98, respectively. The Series A Warrants expire in 60 months and Series B in 30 months, both following shareholder approval.
D. Boral Capital LLC acted as the exclusive placement agent for the transaction. The funds will be used for working capital and corporate purposes. The securities were sold in a private transaction not registered under the Securities Act. Investors agreed to file registration statements with the SEC for resale of shares.
