Saint-Gobain Shareholders’ Meeting and Board Restructuring

On June 6, 2024, Saint-Gobain held its Shareholders’ Meeting, followed by a Board of Directors’ meeting. The attendance rate reached 75.63% of voting rights, and all proposed resolutions were adopted with strong support.

The meeting saw the appointment of three new Independent Directors: Sophie Brochu, Hélène de Tissot, and Geoffroy Roux de Bézieux. Jean-François Cirelli's directorship was also renewed. Shareholders approved a bylaw amendment making a Lead Independent Director's appointment mandatory.

Benoit Bazin was named Chairman and Chief Executive Officer. Jean-François Cirelli was appointed Lead Independent Director and Vice-Chairman of the Board. The Board's committees were reorganized, with Independent Directors chairing all committees.

The Board now comprises 82% Independent Directors, 37% foreign Directors, and 55% women. Pierre-André de Chalendar will serve as Honorary Chairman. The dividend policy was approved, raising dividends by 5% to €2.10 per share.
