SoftwareOne Reports Breakdown in Takeover Talks with Bain Capital
On March 5, 2024, SoftwareOne Holding AG, a prominent provider of software and cloud solutions globally, reported the termination of discussions concerning a public takeover offer by Bain Capital. The negotiations, involving major shareholders von Stockar, Curti, and Gilli, had been aimed at facilitating Bain Capital's acquisition of SoftwareOne. The termination was mutually recognized by both parties.
SoftwareOne expressed its satisfaction with the transparency and finality brought by this development, noting Bain Capital's acknowledgment of the impracticality of a transaction and its absence of entitlement to any shares or voting rights in the shareholder group. With the dissolution of this agreement, shareholders look forward to making informed decisions during the upcoming Annual General Meeting scheduled for April 18, 2024, with the reassurance that an acquisition offer for SoftwareOne is not forthcoming.
