SPORTTOTAL AG Announces Cash Capital Increase with Subscription Rights

Cologne, 7 June 2024. SPORTTOTAL AG has resolved a capital increase with subscription rights for shareholders from authorized capital. The share capital will increase from EUR 34,040,376.00 to up to EUR 35,587,665.00 by issuing up to 1,547,289 new ordinary bearer shares at EUR 1.00 per share. These new shares will carry dividend rights from January 1, 2024.

The subscription offer, expected to be published on June 11, 2024, will run from June 12 to June 26, 2024. The subscription ratio is set at 22:1, but trading in subscription rights will not take place. No securities prospectus will be prepared for this capital increase, following the provisions of the Prospectus Regulation and the German Securities Prospectus Act.

QUIRIN PRIVATBANK AG will accompany the capital increase. Shareholders may subscribe to the new shares and will be allocated additional shares based on equal treatment principles. The proceeds from this increase will finance the expansion of the “STAIDIUM” live sports streaming platform in the USA and the Group's working capital.
