Strategic Acquisition of Ashdown Controls Group by learnd SE

learnd Acquisition S.à r.l., a wholly owned subsidiary of learnd SE, has entered into a share purchase agreement to acquire Ashdown HVAC Controls Limited, ACS Maintenance Limited & Ashdown Control Switchgear Limited. These companies, based in the Republic of Ireland, specialize in building control solutions, energy management, and remote monitoring solutions, and operate primarily on the island of Ireland. This acquisition represents a significant expansion of learnd SE's activities in the European Union, aligning with its strategy to consolidate the building management systems market and geographically expand to become a leading energy management provider in Europe.

The transaction, valued at a six-figure euro amount and the issuance of 230,303 new shares of learnd SE following a capital increase by contribution in kind, increases the share capital of learnd SE to 26,269,884 shares. This operation, excluding the preferential rights of existing shareholders, is expected to be finalized today subject to customary closing conditions.
