Strategic agreement between Micropole and Talan Holding for a voluntary takeover bid at €3.12 per share

Levallois-Perret and Paris, May 29, 2024 – Micropole SA announces the conclusion of a strategic agreement with Talan Holding. This agreement involves the submission by Talan of a voluntary public purchase offer for all of Micropole's shares, at a price of €3.12/share.

Following discussions with several investors, Micropole chose Talan's offer for its attractive price and its industrial project. The Micropole board of directors, after consulting the ad hoc committee and a favorable opinion from the independent expert, unanimously approves this operation valuing Micropole at €90.7 million.

This merger between Talan and Micropole aims to create a leader in the field of Data and Innovation in Europe, targeting 780 million euros in turnover in 2024. Talan's takeover bid will be subject to the usual conditions of approval by the competition and control authorities of foreign investments in France.
