TotalEnergies General Meeting: Approval of Resolutions and Renewals

Paris, May 24, 2024 – During the Combined General Meeting of Shareholders of TotalEnergies SE, all resolutions proposed by the Board of Directors were approved. Patrick Pouyanné is reappointed as Chairman and CEO and Jacques Aschenbroich as lead director.

Shareholders validated the accounts for the 2023 financial year and a dividend of 3.01 euros per share. The mandates of Patrick Pouyanné, Jacques Aschenbroich and Glenn Hubbard are renewed. Marie-Ange Debon is appointed administrator for three years.

The 2023 remunerations were approved, as was the 2024 remuneration policy. Ernst & Young and PricewaterhouseCoopers were appointed as auditors for the certification of sustainability information.

A favorable opinion was issued on the 2024 Sustainability and Climate Report, with 80% of the votes. This report details progress towards carbon neutrality for 2030. The Board of Directors confirmed Patrick Pouyanné as Chairman and CEO.
