Update on Covivio's Voting Rights and Share Capital
On July 31, 2024, Covivio reported a total of 111,623,468 shares comprising its share capital. This number corresponds with the theoretical voting rights. However, the exercisable voting rights amount to 110,806,937 due to the 816,531 treasury shares, which are not eligible for voting under Article L. 225-210 of the French Commercial Code.
The company’s Articles of Association impose additional thresholds for the declaration of shareholdings. Any entity holding or ceasing to hold at least 1% of the company’s share capital or voting rights must notify Covivio by registered mail within the timeframe specified by Article R. 233-1 of the French Commercial Code. Failure to comply results in the deprivation of voting rights for a period of two years.
This requirement is applicable to both statutory and regulatory thresholds, as well as any multiple thereof. This measure ensures transparency and regulates significant shareholding movements within the company.
