Vivendi to Redeem EUR 700 Million Notes Ahead of 2025 Maturity

Vivendi has announced its decision to redeem its EUR 700 million 0.625% notes due June 2025. The early redemption will take place on December 13, 2024, as per the company's make-whole redemption option. This decision is contingent on the approval of certain resolutions concerning a proposed spin-off, to be discussed at Vivendi's Shareholders' Meeting on December 9, 2024. If the meeting is canceled or the resolutions are not adopted, the redemption will not proceed.

The redemption amount will be determined based on the make-whole redemption conditions outlined in the prospectus. Société Générale Securities Services will manage the payment in euros to the noteholders via account holders. Following the redemption, all notes will be canceled, and an application for delisting from Euronext will be submitted.
