Zalando SE Announces Business Combination with ABOUT YOU Holding SE

Zalando SE, a leader in online fashion, has announced a strategic business combination with ABOUT YOU Holding SE. An agreement has been reached for a public takeover offer to ABOUT YOU’s shareholders, with an offer price of EUR 6.50 per share. Zalando will fund this offer through its existing cash reserves.

The merger aims to create a significant e-commerce ecosystem in Europe's fashion market, enhancing both customer and partner offerings through complementary services. The collaboration envisions a dual-brand strategy in the B2C sector, while in B2B, it seeks to merge the strengths of both companies for improved service delivery.

The agreement also highlights the intention to involve ABOUT YOU's founders post-takeover and maintain strong corporate culture. Major stakeholders have shown support, with approximately 73% of ABOUT YOU shares already committed under the agreement. Completion of the takeover is subject to standard closing conditions and regulatory approvals.
