Resolutions for the General Meeting on June 4, 2024

On April 23, 2024, the Board of Directors of BENETEAU S.A., which adopted the resolutions to be submitted at the General Meeting on June 4, renewed the terms of office of Mr Bruno Thivoyon and Mr Gianguido Girotti for a further two-year period as Chief Executive Officer and Deputy Chief Executive Officer respectively, with effect from the General Meeting on June 4, 2024.

During this meeting, the Chairman of the Board of Directors, Mr Yves Lyon-Caen, confirmed that he did not wish to renew his term of office.

The Board sincerely thanked Mr Yves Lyon-Caen for his actions since 2005 as Chairman of the Supervisory Board, then the Board of Directors, and for his role in the Group’s development and success over nearly 20 years.

The Board will also submit a proposal at the General Meeting to appoint Mr Eric Léonard as a Director, replacing Mr Yves Lyon-Caen. Mr Leonard would bring to the Board his operational and strategic experience, acquired with the PSA Group, the Boston Consulting Group and the Essilor-Luxottica Group.

The Board of Directors, which will meet on June 4 following the General Meeting, will then choose its new Chair, as well as the Chairs of the various specialized Committees.

The annual financial report will be published on the Group’s site by April 30, 2024.

 Eric Leonard biography

imageFrom June 4, 2024, after the General Meeting has voted on the resolutions, Eric Leonard would join the Board as an independent director. After graduating from Ecole Centrale de Lyon in 1990, he began his career with PSA, before moving to the Boston Consulting Group in 1996, following an MBA at INSEAD. He then held various operational and strategic roles with the ESSILOR Group, including President of ESSILOR Europe and President of ESSILOR of America, before joining the Group’s executive leadership team until 2022.
