PAUL Tech AG seeks a two-year extension of the term of the EUR 35 million bond
Mannheim, 11 September 2026 – The management board of PAUL Tech AG as issuer ("Issuer") of the EUR 35m 7.00% / 9.00% notes 2020/2026 (ISIN: DE000A3H2TU8 / WKN: A3H2TU; the "Notes") today resolved, with the consent of the supervisory board, to ask the holders of the Notes for their consent to an extension of the term of the Notes by two years in a vote without meeting pursuant to section 18 of the German Act on Debt Securities (Schuldverschreibungsgesetz), i.e. to postpone the maturity date from 1 December 2026 to 1 December 2028.
The Issuer is in discussions with equity investors whose funds are intended, among other things, to be applied towards the redemption of the Notes. These discussions have not yet progressed far enough to secure a repayment of the Notes on the maturity date of 1 December 2026. Longer contract negotiations with major customers have postponed the contract signings expected for the first quarter of 2026 to the second and third quarter respectively and have thus led to a delay in the roll-out of the heating solution PAUL Net Zero. The extension of the term by two years is intended to give the Issuer the time to implement the roll-out and to carry out the refinancing of the Notes on the basis of significantly improved financials.
The interest rate of the Notes remains unchanged at 9.00% per annum. In consideration, the Issuer undertakes to make two partial repayments of 10% of the principal amount per Note each (i.e. EUR 100 each) on 1 February 2027 and on 1 December 2027; the remaining principal amount of EUR 800 per Note will be repaid on 1 December 2028. The period within which the Issuer may redeem the Notes at its option, in whole or in part, at 101.00% of the principal amount is extended until 30 November 2028. Further details, in particular on the voting procedure and the relevant deadlines, are set out in the invitation to vote, which is made available at https://ir.paul.tech/anleihe/ and is expected to be published in the German Federal Gazette (Bundesanzeiger) on or about 15 September 2026.
