Joint representative and SdK advise bondholders of Ekosem-Agrar AG to exercise their voting rights

• As expected, first bondholders’ meetings of Ekosem-Agrar AG did not have a quorum - second meetings on 3 resp. 4 June 2024
• Virtual information event in preparation for the next bondholders' meetings planned for Thursday, May 23, 2024, 5:00 p.m.

Stuttgart, May 8, 2024

The joint representative of the bondholders of the Ekosem-Agrar bond 2012/2027 (ISIN: DE000A1R0RZ5) and the Ekosem-Agrar bond 2019/2029 (ISIN: DE000A2YNR08), e.Anleihe GmbH, advises bondholders to exercise their voting rights.

As expected, the first bondholders' meetings on May 2, 2024, did not have a quorum, as bondholders were represented with less than 50% of the outstanding bonds.

The issuer has now invited bondholders to second bondholders' meetings on June 3 resp. 4, at which a reduced quorum of 25% of the outstanding bond volume is required. The invitations were published by the issuer on May 7, 2024, in the "Capital Market" section in the Federal Gazette and are also available on the company's website at https://www.ekosem-agrar.de/en/investor-relations/bonds/noteholders-meeting-2012-2027/ and https://www.ekosem-agrar.de/en/investor-relations/bonds/noteholders-meeting-2019-2029/.

Information event to prepare the next bondholder meetings planned for Thursday, May 23, 2024, at 5:00 p.m.

The joint representative is currently coordinating feedback with the issuer on issues raised by bondholders at the non-quorate meetings on May 2, 2024, and in common discussions with e.Anleihe GmbH.

The evaluation of this feedback will be the basis for the next joint information event of e.Anleihe GmbH and SdK Schutzgemeinschaft der Kapitalanleger e.V. (Protection association for investors) for the bondholders in preparation for the second bondholders' meetings.

The information event is expected to take place on Thursday, May 23, 2024, at 5:00 pm. A corresponding invitation with registration details will be published at short notice.

Request blocking notices from banks and grant powers of attorney if necessary

Irrespective of how the bondholders will position themselves on the issuer's proposals, the joint representative and SdK once again emphasize the importance of exercising voting rights at the second bondholders' meetings. Only through this the bondholders can effectively protect their interests.

Bondholders are strongly advised to immediately request special verification of current ownership of the bonds and the blocking notice required for voting from the respective custodian institutes for the upcoming meetings, if this has not already been done. Considerating the public holidays and vacation days in May, longer processing times may have to be expected at the custodian banks.

Bondholders who will not be able to attend the bondholders' meetings on June 3 resp. 4, 2024 in Heidelberg and do not wish to be represented by the issuer's proxies may authorize SdK Schutzgemeinschaft der Kapitalanleger e.V., whose board member, attorney Markus Kienle, is a member of the Noteholders' Advisory Committee, to exercise their voting rights free of charge. Properly prepared forms of the proxy form are available on the SdK homepage at https://sdk.org/leistungen/glaeubigervertretung/ekosem-agrar-ag/. This also requires special verification together with a blocking notice from the custodian bank.
