Lenzing, October 21, 2026 – Lenzing Aktiengesellschaft ("Lenzing" or the "Company") has successfully completed its capital increase against contribution in cash with subscription rights for existing shareholders announced on October 1, 2026. A total of 34,756,362 new no-par value bearer shares with an entitlement to dividends as of 1 January 2026 (the “New Shares”) were offered to existing shareholders at a subscription price of EUR 8.65 per New Share by way of a rights offering (the “Rights Offering”).

At the end of the subscription period, 34,411,626 New Shares were subscribed for in the Rights Offering through the exercise of subscription rights (equivalent to a subscription rights exercise ratio of 99%), including 18,159,291 New Shares subscribed for by the syndicate formed by the B&C Group and Suzano S.A., corresponding to approximately 52.25 % of the Rights Offering, and 1,344,177 New Shares subscribed for by Oberbank AG, corresponding to approximately 3.87% of the Rights Offering. The limited number of New Shares not subscribed for in the Rights Offering were sold in the market by the managing banks.

“The successful completion of the capital increase is a strong signal of confidence in Lenzing and our strategic transformation and marks a key step in its implementation. With a strengthened financial foundation, we will continue to execute ‘Grow Nonwovens, Reset Textiles’ with determination and position Lenzing for sustainable, profitable growth,” says Georg Kasperkovitz, CEO of the Lenzing Group.

The gross proceeds of approximately EUR 301.2 mn will provide Lenzing with additional financial flexibility, support the implementation of its "Grow Nonwovens, Reset Textiles" strategy, and further strengthen the Company's capital structure. The strategy focuses on significantly expanding the nonwovens business, sharpening the textiles business toward differentiated premium segments and strategic customer partnerships, and further strengthening the profitable pulp and biorefinery business. Over the medium term, Lenzing aims to increase EBITDA by EUR 150 mn, achieve an EBITDA margin of 20 to 25 percent, and reduce net leverage to below 2.5x EBITDA.

“The capital increase significantly strengthens our equity base and financial flexibility. Together with our broader financing measures, it provides a solid foundation to reduce leverage, manage upcoming maturities and fund the transformation of Lenzing to achieve our financial targets in the medium-term”, says Mathias Breuer, CFO of the Lenzing Group.

Settlement of the transaction, including delivery of the New Shares, and commencement of trading of all New Shares under the existing ISIN AT0000644505 in the Prime Market segment of the Vienna Stock Exchange are expected to take place on October 23, 2026, subject to the registration of the consummation of the capital increase with the companies register.
