Disclosure of a transparency notification (Article 14, first paragraph, of the Act of 2 May 2007 on the disclosure of major holdings)

Participation notifications by Janus Henderson Group plc and Jupiter Topco LLC

In accordance with the Act of 2 May 2007 on the publication of important participations in listed companies, Recticel (Euronext: RECT) publishes the following notification:

1. Summary of the two notifications

Recticel (Euronext: RECT) has received two transparency notification dated 6 July 2026, which show that

(1) Janus Henderson Group plc, as a result of the transfer of shares/control on 30 June 2026, now owns 0.0% of the voting rights of the company. It has thus crossed downwards the 5% shareholding threshold and

(2) Jupiter Topco LLC, as a results of the transfer of share/control on 30 June 2026, now owns 7.85% of the voting rights of the company. It has thus crossed upwards the 5% shareholding threshold.

2. Content of the first notification

The notification dated 6 July 2026 contains the following information:

• Reason for the notification: Acquisition or disposal of the control of an undertaking that holds a participating interest in an issuer
• Notification by: A parent undertaking or a controlling person
• Persons subject to the notification requirement: Janus Henderson Group plc, having its address at 13 Castle Street, St Helier, Jersey JE1 1ES, UK
• Persons that dispose of voting rights: unknown
• Transaction date: 30 June 2026
• Threshold that is crossed: 5% downwards
• Denominator: 57,068,420
• Details of the notification:

• Chain of controlled undertakings through which the participating interest is effectively held: Janus Henderson Group plc, Janus Henderson UK (Holdings) Limited, Janus Henderson Investors UK Limited.

3. Content of the second notification

The notification dated 6 July 2026 contains the following information:

• Reason for the notification: Acquisition or disposal of the control of an undertaking that holds a participating interest in an issuer
• Notification by: A parent undertaking or a controlling person
• Persons subject to the notification requirement: Jupiter Topco LLC, having its address at 3rd Floor, 44 Esplanade, St. Helier, JE4 9WG, Jersey, UK
• Persons that dispose of voting rights: unknown
• Transaction date: 30 June 2026
• Threshold that is crossed: 5% upwards
• Denominator: 57,068,420
• Details of the notification:
